Były to tajne spotkania przedstawicieli komunistycznych władz PRL oraz opozycji „Solidarności”, prowadzone w willi MSW w Magdalence pod Warszawą.
Spotkania te poprzedzały Okrągły Stół i miały na celu ustalenie ram transformacji ustrojowej.
Ze strony rządowej uczestniczyli m.in. Czesław Kiszczak, Stanisław Ciosek, Jerzy Urban, a ze strony opozycji Lech Wałęsa, Tadeusz Mazowiecki, Bronisław Geremek, Adam Michnik.
Uzgadniano kwestie: legalizacji „Solidarności”, zasad wyborów, podziału wpływów w mediach, a także bezpieczeństwa dla funkcjonariuszy aparatu PRL.
? Po transformacji — główne kontrowersje
1. Brak rozliczenia komunistów — wielu funkcjonariuszy SB, PZPR i aparatu bezpieczeństwa zachowało stanowiska, emerytury i wpływy.
2. Prywatyzacja lat 90. — część środowisk uważała, że była kontrolowana przez dawnych aparatczyków i zachodnie kapitały; powstały tzw. „układy” łączące dawnych i nowych elit.
3. Narracja o „grubej kresce” Mazowieckiego była interpretowana jako przyzwolenie na brak odpowiedzialności karnej za zbrodnie PRL.
4. Afera FOZZ (Fundusz Obsługi Zadłużenia Zagranicznego) oraz inne afery gospodarcze (Art-B, prywatyzacje, banki) stały się symbolem nowego „nomenklaturowego kapitalizmu”.
